Please read these Terms of Service ("Terms") carefully before using VoxArca ("Service," "Platform"). By accessing or using VoxArca, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User," "you") and VoxArca ("we," "us," "our"). By creating an account or using the Service, you confirm that you are at least 13 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

VoxArca is an AI-powered music marketing platform that provides:

• Audience analysis and mapping for music artists
• AI-generated ad copy and creative assets
• Targeting recommendations for Meta Ads campaigns
• Artist profile management and campaign tracking

The Service is currently in beta and accessible by invitation only. Features and availability may change at any time.

3. Account Registration

To use VoxArca, you must create an account using a valid email address and a valid invite code. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Providing accurate and current information

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use VoxArca only for lawful purposes. You must not:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Create misleading, deceptive, or fraudulent ad content
• Attempt to reverse engineer, scrape, or copy the platform
• Use the Service to spam, phish, or engage in malicious activity
• Share your account credentials with others
• Use automated tools or bots to access the Service
• Attempt to circumvent any access controls or security measures

5. AI-Generated Content

VoxArca uses artificial intelligence to generate ad copy, audience insights, and creative recommendations. You acknowledge that:

• AI-generated content may not always be accurate, complete, or suitable for your use case
• You are solely responsible for reviewing, approving, and publishing any content generated by the platform
• We do not guarantee the performance of any AI-generated content in your campaigns
• Generated content must comply with Meta Ads policies and all applicable advertising standards

6. Third-Party Services

VoxArca integrates with third-party services including Spotify and Meta Ads. Your use of these integrations is subject to the respective terms of service of those providers. We are not responsible for the accuracy, availability, or performance of third-party services.

7. Intellectual Property

Our IP: All platform software, design, algorithms, and branding are owned by or licensed to VoxArca. You may not copy, modify, or create derivative works from our platform.

Your content: You retain ownership of any content you upload or create using the platform. By using the Service, you grant us a limited license to process your content solely to provide the Service.

Generated content: AI-generated outputs (ad copy, audience insights) produced using your inputs may be used by you for commercial purposes, subject to these Terms.

8. Beta Service Disclaimer

VoxArca is currently in beta. As such:

• Features may be incomplete, subject to change, or temporarily unavailable
• The Service is provided "as is" without warranties of any kind
• We may modify, suspend, or discontinue the Service at any time
• Data and account access may be reset during the beta period

9. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXARCA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL VOXARCA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless VoxArca and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Privacy

Your use of VoxArca is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

12. Termination

We may suspend or terminate your access to VoxArca at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on the platform or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising out of or related to these Terms shall be resolved through binding arbitration, except where prohibited by law.
